кризис в индустрии коснулся и их. зарплаты снизили на 6% с февраля.  :cussing:

Американская Tidewater рискует потерять флот из-за $2 млрд. долгов

Американский судовладелец Tidewater переживает нелёгкие времена: компания пытается договориться с кредиторами, которым задолжала в общей сложности более $2 млрд. Tidewater уже сообщила, что не сможет покрыть проценты по кредитным ставкам – для этого её операционная прибыль должна быть втрое больше процентных выплат, чем компания не может похвастаться.

При этом у Tidewater не наблюдается проблем с ликвидностью. По словам главного исполнительного директора Джеффа Платта, переговоры с кредиторами продолжаются, и договорённость будет достигнута. Заимодавцы уже согласились подписать соглашение, по которому выплата процентов откладывает до середины августа, чтобы не инициировать немедленного погашения долгов.

Другие американские компании – например, Hornbeck Offshore Services (HOS) и Seacor Holdings, у каждой из которых долг превышает $1 млрд. – также испытывают трудности с выплатой процентов. Проблема Tidewater в том, что у неё не только в два раза больше долгов, но и в два раза больше заимодавцев, у каждого из которых свои планы и свой взгляд на ситуацию. Это затрудняет достижение какого-то общего соглашения.

Около $1 млрд. кредитов Tidewater – это негарантированные долговые обязательства, которыми компания обзавелась с 2010 по 2013 годы, когда искала финансирование для своей программы модернизации флота. Эти обязательства подлежат погашению с 2017 по 2026 годы. Ещё $900 млн. – это возобновляемая кредитная линия от группы банков, срок выплаты которой наступит в 2020 году. Некоторые долги образовались после приобретения норвежской фирмы Troms Offshore в 2013 году.

«По-видимому, несмотря на тяжёлое положение Tidewater, соглашение с кредиторами может быть достигнуто, – считает Трей Столз, аналитик торгового агентства Iberia Capital Partners. – Но добиваться этого придётся кровью и потом. Разный объём траншей и разные сроки их погашения затрудняют переговоры с инвесторами. Одновременная выборка компанией всего банковского кредита уменьшает вероятность отсрочки от банков. По словам Столза, создаётся впечатление, что кредиторы договорились поступать наперекор тому, чего хочет от них Tidewater.

«Выбрать все средства по возобновляемой кредитной линии – это обычное действие для компаний, которые чувствуют, что банк вот-вот урежет их кредитный лимит, – утверждает Эван Фласчен, специалист по корпоративной реструктуризации из юридической фирмы Bracewell. – Потому что никто не хочет терять деньги только потому, что зазевался и не взял их вовремя. Но поступая таким образом, компания рискует столкнуться с ужесточением условий кредитного соглашения. Ни банки, ни другие заимодавцы не любят такого поведения».

По словам Фласчена, банки в таких ситуациях действуют жёстко, потому что хотят вернуть максимально возможное количество средств. Те инвесторы, у которых на руках долговые соглашения, более склонны идти на компромиссы, потому что они могут, например, просто оговорить себе долю в акционерном капитале компании-должника.

«Поэтому банки и инвесторы – они всегда в разных лагерях по отношению к должнику в таких случаях», – уверяет Фласчен.

Но и банки, и инвесторы сейчас думают об одном и том же – может ли оффшорный флот Tidewater, насчитывающий 278 судов, рассматриваться как залоговое имущество, обеспечивающее долг. Финансовый директор компании пообещал, что в случае признания неплатежеспособности флот будет поделен между заимодавцами пропорционально суммам долгов.

Фласчен утверждает, что это нормальная практика в долговых переговорах – предоставлять обеспечение в равной степени для всех кредиторов, независимо от гарантии кредита. Но поскольку долговые соглашения считаются более приоритетными, те инвесторы, у которых они есть, могут потребовать себе больше судов, чем отойдёт, например, банку.

«Это вообще необычно для судоходства – иметь негарантированные обязательства, – считает Фласчен. – И конечно, это затруднит процесс распределения залогового имущества. Кроме того, тяжелоё положение оффшорного рынка заставляет задаваться вопросом – а как вообще оценивать эти суда, используя их в качестве залога?»

«По-видимому, инвесторы будут сами оценивать потенциал того или иного судна, – поддерживает коллегу Столз. – И делать это довольно произвольно. Рынок останется кризисным как минимум до конца года, так что чуда ждать неоткуда. При такой оценке владельцы долговых соглашений заберут себе, что захотят, и оставят незащищённых кредиторов ни с чем. Из ряда вон выходящая ситуация, честно говоря».

Шаряться тут под нами их саплаера, дп2, экипаж - хохлы/хорваты/негры. Зарплата кепа 300, старпом 200, второго пома 120$ в день баксов после обрезаний всех. И это люди с фулл ДП. Контракты - вроде 2/2 но сидят без замен по 4 месяца уже, еды осталось ящик перца болгарского и 20 яиц.
Позорище а не офшор, что ещё сказать..

Offshore vessels owner and operator Tidewater Inc has been hit by a first quarter loss of $89.1m, an almost six-fold increase compared to the deficit in the year-ago period.


Tidewater plunged deep into the red with a loss of $89.1m in the first quarter ended 30 June 2016, widening from the loss of $15.05m in the same period of 2015.

Revenue for the quarter was sliced to $167.93m from $304.77m in the previous corresponding period.

During the June 2016 quarter, Tidewater took a $36.9m non-cash asset impairment charges as a result of the depressed offshore market.

“The decrease in oil and gas prices that began in the second half of fiscal 2015 and continued throughout fiscal 2016 has led to materially lower levels of spending for offshore exploration and development by the company's customers globally,” Tidewater commented.

“In addition, newly constructed vessels have been delivered over the last several years, exacerbating weak vessel utilization. With reduced demand for offshore support vessels along with increased supply, the company has experienced a significant decline in the utilization of its vessels, average day rates received and vessel revenue,” it said.

As at 30 June 2016, Tidewater has 181 active owned or chartered OSVs and 87 stacked, compared to 245 active owned or chartered vessels and 28 stacked in the year-ago period.

New Orleans-based OSV company Tidewater Inc. has been given just three more weeks to reach a deal with its lenders and bondholders before it will be forced to consider other options including Chapter 11 bankruptcy.

The precarious news was revealed Friday when Tidewater announced it had received only limited waivers from lenders and noteholders to extend the deadline for a deal to until November 11, 2016. The deadline was extended from Oct. 21 and earlier from Sep. 18.

With more than 300 vessels, Tidewater has one of the biggest OSV fleets in the offshore oil and gas industry.

Tidewater Inc. (NYSE: TDW) has been in discussions with its principal lenders and noteholders to amend the company’s various debt arrangements to obtain relief from certain covenants. The company previously reported that progress was being made in those negotiations, however Tidewater now admits that due to the projected weak activity in offshore drilling, a key driver within the offshore service vessel (OSV) industry, more negotiations are needed.

“While the company will continue to work toward amendments to its various debt arrangements that will be acceptable to all parties, there is a possibility that the lenders, noteholders and the company will not be able to negotiate new debt terms that are acceptable to all parties, in which case the company will have to consider other options, including a possible reorganization under Chapter 11 of the federal bankruptcy laws.”

Tidewater Inc. shares were trading down 44% by the end of the day Monday at $1.67.

Tidewater to File for Bankruptcy.

New Orleans-based oil services company Tidewater Inc. has entered into a prepackaged restructuring agreement with certain lenders that will require the company to file for Chapter 11 bankruptcy.

On Friday, Tidewater announced the restructuring and said it expects the pre-packaged plan to substantially deleverage its balance sheet and better position the company as it continues to weather the extended downturn in the offshore energy industry. As part of the deal, the company and certain of its subsidiaries are expected to file chapter 11 cases in Delaware by May 17, 2017.

It said the plan is expected to eliminate approximately $1.6 billion in principal of Tidewater’s outstanding debt.

During the restructuring, the company will continue to operate as normal in an effort to maintain its position in the worldwide offshore vessel services market, with sufficient funds to pay employees and vendors.

Tidewater, with more than 300 vessels, is one of the biggest OSV operators in the offshore oil and gas industry.

“As we continue to navigate this unprecedented industry downturn, we are pleased that we have reached an agreement which should allow Tidewater to significantly reduce its debt burden and provide sound financial footing for the company’s future,” said Jeffrey Platt, President and Chief Executive Officer of Tidewater. “We believe that successful completion of our restructuring will provide the necessary liquidity and operational flexibility for Tidewater to continue to operate at lower levels of activity until offshore drilling activity recovers and more reasonable levels of vessel utilization and day rates are restored. I want to thank our employees and other stakeholders for their continued hard work and dedication as we complete the restructuring process.”

For the past several months Tidewater has been in the process of negotiating with its principal lenders and noteholders to amend the company’s various debt arrangements in order to obtain relief from certain covenants. During the negotiations, Tidewater had sought and received several limited waivers for non-compliance with the covenants preventing the company from defaulting on its loans, which would force it to consider other options including Chapter 11 bankruptcy protection. In March, however, Tidewater allowed the last of the limited waiver to expire despite a not yet reaching a deal.

In its announcement on Friday, Tidawater said The Prepackaged Plan has the support of the its lenders holding 60% of the outstanding principal amount of loans under the Credit Agreement dated as of June 21, 2013 and holders of 99% of the aggregate outstanding principal amount of Tidewater’s Senior Notes. The company expects to have sufficient liquidity to operate its business throughout the restructuring process, which will include paying employees and vendors.

Tidawater said it has also been in discussions with the New York Stock Exchange regarding maintaining its current listing throughout the restructuring process. Recently it was warned by the NYSE that its share price had fallen below the required minimum for listed companies to maintain. Tidawater said it is working to meet the requirement and it expects to remain a publicly-traded company during and after the restructuring process.

Tidewater first quarter loss hits $524m
US OSV owner hit by $313m charge after successful Chapter 11 restructuring.

US offshore vessel owner Tidewater has logged a huge loss in the first quarter due to the cost of its successful Chapter 11 restructuring.
The New York-listed company said the net deficit to 30 June was $524.41m, from $88.64m a year ago.
Revenue fell to $115.1m from $167.92m, while the operating loss widened to $205.37m versus $66.13m in 2016.
The result included $313.2m of reorganisation charges relating to the Chapter 11 proceedings, plus $163.4m in non-cash asset impairment charges.
